For the they don't need to sign it comment, read your contract. It usually have a clause near the end that usually reads that "this is the entire agreement and all changes shall be in writing and signed by both parties and shall be mailed to each party at the following address........" And they know it because then why bother with the addendum? Also check your contract, does the payment terms change upon termination? If they breach your contract, get the lawyer started, you may end your relationship with your vendor, but it will cost you less in the long run than a slow bleed.
All the rest depends on what is in your contract, cant answer those questions w/o reading it.
