If this is not a classic case of a misclassified employee, I dont know what is. You actually represented the owner of the company at meetings with the owners contract holder and you are a sub. Your boss is on VERY shaky ground if you ever wanted to contact the IRS and file an SS-8. And on top of flaunting the law, he wants to withold retainage? Either very unethical or completely ignorant of business basics and either way endangers you. Be very careful with him.
