A few threads back was discussion of wanting to see a non compete clause. Here one I have seen a company using included in their 9 page contract. Obviously I wouldn't be posting it if I signed that contract hehe.
Non Compete.
(a) During the term of this Agreement and for a period of (2) years immediately after termination of this Agreement, Contractor will not directly or indirectly own, manage, be employed by or egaged by, operate, or control any other company or person in the business of installation or survey of Cable Television Systems within the Central Florida counties of XXXXX, XXXXX, XXXX, and XXXXX.
(b) During the term of this Agreement and for a period of two (2) years immediately after termination of this Agreement, Contractor will not directly or indirectly solicit any customer of the Companny, divert or attempt to divert any utility survey or cable television system installation customer to another utility survey or cable television installation company.
(c) Contractor will not at any time, during or after the term of this Agreement, directly or indirectly divulge or otherwise disclose to anyone other than an employee of the Company the names and addresses of customers or potential customers of the Company, or any contents of files maintained by the Company or by Contractor for Company, prices and pricing policies of the Company, procedures and policies of the Company, or other information which is confidential or proprietary to the Company, unless the Company gives its prior written consent to such disclosure.
(d) Contractor shall report to the Company all violations of the Company copyrights and other proprietary rights in its work and business and other works immediately upon discovery of such violations by Contractor.
(e) Contractor acknowledges that each of the foregoing matters is important and material to the business and success of the Company. Contractor may be enjoined for all breaches of this Agreement for which Contractor shall also pay to the Company all damages (including but not limited to compensatory, incidental, consequential, and punitive damages), which arise from the breach, together with interest , costs, and attorney fees.
