I am currently having my contract rewritten by my attorney. One critical word of advice is to spell out every aspect of the job and what is expected of the subcontractor will protect you. If you think that it is too insignificant to mention... mention it... you would be surprised as to what will come back and bite you in the behind.
Make sure that you include a competition clause... you will need to check with each state that you are working in to make sure that they support competition clauses in Independent Contractor Agreements. According to my attorney... most do... anywhere up to 5 years... but be reasonable in your contract so that if it is ever an issue it shows that you are not an unreasonable person.
