it will acquire Digital Integration Systems, Inc. ("DIS"). DIS is a newly formed

company focused on the residential installation of satellite and cable services as well

as the sale and installation of technology and structured wiring in newly constructed

homes nationwide.

Currently, DIS has five of the top companies in their field under Letters of Intent, with

anticipated closings during Charys' fiscal second quarter. With 38% revenue growth

and 45% EBITDA growth for the first five months of 2006, the consolidated companies

are on track for revenues of over $80 million with estimated EBITDA of $11 million in

fiscal 2006.

October 16, 2006 -- Charys Holding Company, Inc
announced that its Charys Technology Group subsidiary will work with Boston's

non-profit wireless initiative to build and operate the city's first high-speed wireless

pilot project. Boston Mayor Thomas Menino on Monday announced that the city's

wireless initiative would begin work immediately on a square-mile demonstration

project in Roxbury's Grove Hall and Dudley Square neighborhoods.
