Contractors Believe Prime TV Owes Them Thousands Of Dollars

RALEIGH, N.C. -- For years, Prime TV of Moore County brought in

millions marketing DirecTV satellite equipment. Last week, DirecTV

canceled their contract with Prime TV. Now, companies that installed

those systems say they could go under because Prime TV is not paying

the bills.


There is more fallout from Prime TV, who is accused of bad business.

This time, instead of thousands of unsatisfied customers, contractors

said they are owed thousands of dollars.

Many angry satellite TV installers from across the country installed

systems for Moore County's Prime TV, but they say they have not gotten

all their money.

Two companies in Florida tell WRAL they are out more than $800,000.

One installer in Georgia claims Prime TV owes them $52,000. An

Alabama company claims it is owed $500,000 and a Washington

contractor claims it is owed $4,000.

Prime TV founder David Hagen blames the debts on DirecTV's decision

to cancel the sales contract with Prime TV. DirecTV said they terminated

the deal for good reason and they do not owe a dime. In an e-mail to

installers, Hagen fights back calling the claims "categorically false."

However, many installers do not buy that. They said some unpaid bills

date back months before DirecTV pulled the plug. Plus, they are

frustrated to learn that despite the outstanding bills, Prime TV's

ownership and management team plans to expand yet another satellite

TV company in Cary's MacGregor Park. They will be selling Dish Network

equipment.

Installer Raleigh Coggin of Georgia told WRAL, "They're trying to evade

and escape. There's a lot of mad people out there. We're about to lose

everything."

For years, Prime TV has been dogged by thousands of complaints from

consumers nationwide who say the company failed to pay promised

rebates until the attorney general intervened. Prime TV argues the

compaints came from only a small percentage of customers.

Some installers now link their problems to David Hagen's past. The

Prime TV founder served federal prison time in the 1990s for mail and

bankuptcy fraud.

Florida installation company owner David Sparks told WRAL, "I think

what it may take to get Hagen to pay us is the threat that he may go

back to jail."

Hagen released a response saying he is taking legal action against

DirecTV seeking $30 million in damages. He said, "PrimeTV very much

regrets the inconvenience that this situation has created for some

individuals who worked under contract. We are disappointed that

DirectTV is taking advantage of a business dispute to prevent

hard-working men and women from being paid what they are owed."

On Friday, Prime TV attorneys will meet with the Attorney General

2004. Now, companies that installed the equipment say they did not get

paid. They have filed a lawsuit, claiming it was no clerical error, but

fraud.


There are new problems for a local satellite TV company. After years of

consumer complaints about rebates, PrimeTV in Moore County is now

under fire from companies that installed the equipment.

More than a dozen satellite installation companies from Florida to

Washington State joined the lawsuit against Prime TV. They claim Prime

TV and other related businesses that operate out of the Gatelinx

building in Southern Pines owe them money. Some installers claim they

are out more than $10,000.

Prime TV founder David Hagen and his wife, Annette, are also named in

the suit. The Hagens served federal prison time in the 1990s for direct

mail and bankruptcy fraud.

The installers' lawsuit follows years of complaints from consumers who

bought DirecTV satellite from Prime TV. Thousands reported Prime TV

failed to pay promised rebates of $50 to $150 until the attorney general

and Better Business Bureau got involved.

Weeks ago, former employees told WRAL anonymously they felt it was

the company's intent to mislead rebate customers.

"Every time you walked through the door, you sold a piece of your

integrity. Every time you walked through the door, you were going to

lie," one employee said.

The lawsuit alleges the company also broke promises to installers by

bouncing checks while liquidating assets and transferring them to

another satellite TV company. There are other angry installers who plan

to file separate suits.

Paul Guitierrez of Omega International Communications in Alabama told

WRAL, "People that do what the Hagens have done do not deserve to

be in this business."

Prime TV founder David Hagen told WRAL Thursday that the financial

problems were caused when DirecTV severed its contract. Now, Prime TV

is suing DirecTV for what he calls fraud. PrimeTV also says any

allegations of fraud regarding rebates or the transferring of funds are

absolutely untrue.

Installers Suing Prime TV

A group of companies that used to install satellite television systems

for Prime TV in Southern Pines filed a lawsuit against the company

Friday in Moore County District Court.

The plaintiffs are installers from all over the country. The lawsuit names

Prime TV, Gatelinx, Dish TV Now, Prime Installs and David and Annette

Hagen as defendants.

The installers contend that Prime TV owes them money. The companies

are seeking damages in amounts ranging from $1,000 to more than

$10,000, as well as punitive damages that would be determined by a

jury.

Richard “Trey” Yelverton III, in-house attorney for the defendants, said

this is a problem that Prime TV had been “actively working to resolve.”

But now that the suit has been filed, the courts will decide, he said.

The problem stems from a dispute between Prime TV and DirecTV. Prime

TV sold DirecTV systems out of its offices in Southern Pines for about

seven years. But DirecTV abruptly terminated its contract with Prime TV

in late March, alleging that Prime TV was also selling its top competitor,

Dish Network.

Prime TV was located within the Gatelinx office building off U.S. 1,

which was once a Winn Dixie grocery store. There is a Dish Network

provider, called Dish TV Now, in that office building, but Yelverton said

it is a separate entity and has a separate corporate structure.

After losing it contract with DirecTV, Gatelinx converted the call center

over to selling only Dish Network.

DirecTV also accused Prime TV of poor business practices. Many

customers filed complaints with the N.C. Attorney General’s office and

the Better Business Bureau about not getting rebates they said they

were promised.

Prime TV countered by saying that DirecTV used successful dealers to

learn the best ways to sell the product and then forced them out of

business, in effect cutting out the middle man.

As a result, Prime TV laid off a number of employees and closed its

customer service, call center and warehouse. While that was happening,

companies that had been contracted to install satellite systems were

not being paid.

DirecTV offered a way for installers to recoup some of their money (at

Prime TV’s suggestion, Yelverton said). But the installers who filed the

suit want all of the money they say they are owed, plus damages. They

are alleging that their money is going to finance Gatelinx and Dish TV

Now operations.

The plaintiffs are OneTec of Saint Peters, Miss.; Swartzel Installations

Technologies of Riverside, Calif.; Orbit Rhythms of Central City, Colo.;

Platinum Distribution Installations of Hughson, Ga.; JGK Satellite

Installation Services of Clarkston, Wash.; SAT Systems of Oakbrook

Terrace, Ill.; Moore Telecom of Egg Harbor City, N.J.; Digital Home

Solutions of Kearney, N.J.; Comm-Tech of Staten Island, N.Y.; Coastal

Satellite Services of Georgetown, S.C.; Northeast Communications of

Ledyard, Conn.; Northern Star Installations of Neptune Beach, Fla.; NTI

Satellite of Montpelier, Ind.; Satellite Plus of Inman, S.C.; Securetel of

Defiance, Miss.; Telecom Technologies of La Center, Kent.; and Prime

Star of Foster, R.I.

The group of companies hired Southern Pines attorney Jodie Foyles to

represent them.

The suit claims that even though Prime TV, Prime Installs, Gatelinx and

Dish TV Now are separate legal entities, they have acted in concert by

exchanging information, equipment, contracts, employees and money.

The complaint says that installers received letters from all of the

defendants involving the same subjects.

Foyles said phone numbers and extensions that used to be Prime TV

numbers now go to Dish TV Now, but still reach the same employees.

Yelverton said that he isn’t aware of anything like that.

The complaint says Prime TV broke its contract by claiming that the

Hagens are transferring assets, equipment, money and personnel from

Prime TV and Prime Installs to Dish TV Now. The lawsuit also alleges

that the Hagens perpetrated fraud against the installers.

“(The defendants) did knowingly make false representations to the

plaintiffs in order to induce (them) to provide services and goods,” the

complaint says, “… while knowing or reasonably should have known that

they would be unable to pay.”

The complaint says the defendants are liquidating assets or transferring

them from Prime TV, Prime Installs and Gatelinx to Dish TV Now. The

liquidation prevents them from paying the installers.

Yelverton said none of the defendant companies is liquidating.

“Any allegations of fraud are completely unfounded,” he said.

Installers received checks that bounced because of insufficient funds or

checks that had payment stopped on them. The installers claim that the

defendants knew that they had insufficient funds.

Yelverton blames DirecTV for not giving PrimeTV TV enough notice prior

to the termination of the contract.

The lawsuit seeks a court order “piercing the corporate veil” of Prime TV,

Prime Installs, Gatelinx and Dish TV Now.

“David and Annette Hagen have complete domination over all four

companies’ finances, policies and business practices,” the lawsuit says.

“All four companies in essence operate with one mind and in such an

interchangeable fashion that it is often difficult to tell one from the

other. … David Hagen and Annette Hagen have excessively fragmented

the companies they controlled into separate corporations in order to

avoid being held liable for the companies’ wrong doings.”

The installers are seeking the amount they are owed and punitive

damages. They want the court to hold the Hagens personally

Last two years in a row, DirecTV won the JD Power award for

satellite/cable service, and being associated with creeps like Prime TV

tarnishes the company's image. You might be somewhat encouraged to

know that, in a meeting with one of the top national execs of DirecTV

today at my call center, one of the first employee questions for the

executive was on that very issue: These chumps are making us look

bad. At the mention of Prime TV's fraudulent practices, the auditorium

erupted with applause and agreement. "We ALL hate 'em", The exec

said, a bit vaguely for my taste, that "...DirecTV has been

communicating with PrimeTV to try to move them toward giving accurate

information about our services, and that the company will continue to

work on that". I'd have much rather heard her say that DTV would lean

on Prime, but then, I'm just a lowly phone monkey.
Resolution: The best way to get your rebate back is to call DirecTV at

(800) 531-5000 and complain and/or ask they file a formal complaint.

Resolution time takes 5-6 weeks with cooperation between the two (2)

companies. Please keep in mind: DirecTV is not Prime TV and we are

just as fed up as you are with Prime TV. So, don't vent your frustrations

out on the consultant, and you'll get your resolution time cut in half. Be

understanding, we want Prime TV gone just as badly as you do.
