Here is the most authoritive site you will ever find. http://www.irs.gov They clearly explain the difference between subcontractor and employee. Guess what, very little has to do with the company withholding taxes, in fact that is not even mandatory by the IRS, it is done as a benefit/courtesy for company accounting department records.
