There are serious implications with a no compete clause, this coming from the IRS. They state that the actions of the contractor over the contractor can negate the contract (for lack of better teminology.) In essence they have a 20 question guideline to address the issue as to whether a person deemed an independent contractor is really an "independent contractor" or an employee. One of the most serious implications is the authority that the contractor holds over the sub-contractor. It sounds like the contractor is in violation, of at least, of this aspect of the IRS guidelines for employer or employee relationship.
