Shenandoah Telecommunications Company has signed a letter of intent to purchase the 83.8% of NTC Communications, L.L.C. (NTC), that it does not currently own for $12.6 million and the assumption of NTC’s existing debt.
This Transaction initiated at the end of 2004


NTC Communications L.L.C., is a privately owned company, headquartered in Harrisonburg, VA, that provides local and long distance voice, cable television, Internet and data services on an exclusive basis to off campus student housing. NTC currently provides services to over 38,000 users in Virginia, North Carolina, South Carolina, Tennessee, Florida, Georgia and Mississippi.

Shenandoah Telecommunications Company is a diversified telecommunications company providing both regulated and unregulated telecommunications services through ten wholly owned subsidiaries. These subsidiaries provide local exchange telephone services, wireless personal communications services (PCS), as well as cable television, paging, Internet access, long distance, fiber optics facilities, and leased tower facilities. The Company is the exclusive provider of wireless mobility communications network products and services on the 1900 MHz band under the Sprint brand from Harrisonburg, Virginia to Harrisburg, York and Altoona, Pennsylvania. The Company refers to the Hagerstown, Maryland; Martinsburg, West Virginia; and Harrisonburg and Winchester, Virginia markets as its Quad State markets. The Company refers to the Altoona, Harrisburg, and York, Pennsylvania markets as its Central Penn markets. Competitive local exchange carrier (CLEC) services were established on a limited basis during 2002. In addition, the Company sells and leases equipment, mainly related to services it provides, and also participates in emerging services and technologies by direct investment in non-affiliated companies. As a result of the NTC Communications, L.L.C.(NTC) acquisition, the Company, through its newly created subsidiary Shentel Converged Services, provides local and long distance voice, cable television, internet and data services on an, at times, exclusive basis to multi-dwelling unit (MDU) communities (primarily off-campus student housing) throughout the southeastern United States including Virginia, North Carolina, Maryland, South Carolina, Georgia, Florida, Tennessee and Mississippi.

BASICALLY a new Subsidiary of Shenandoah called SHENTEL CONVERGED SERVICES (SHENTEL)will inherit the University of Florida - Gainesville Campus CATV SYSTEM with this
purchase as the other Univerisity Campus Systems in the
South & SE Purchased recently from NTC.

The Field Operations Supervisor is responsible for all aspects of the Converged Services field operations in a particular market or region. All technicians, installers and repairman in that region report to this position. Primary function is maintaining network integrity by provider superior customer service in the installation and repair of customer voice, CATV and Internet access services. Secondary function is the support of various projects, large and small, throughout the market. Monitoring and efficient management of customer service orders and the field staff that supports the resolution of these service orders. Resolve service orders within the timelines defined in the resolution protocol. Support needs of installer and technicians in the market/region. Materials, tools, training, planning and prioritization. Support the preventive maintenance program for all Converged Services, voice, CATV and network Internet access. Provide for accurate record keeping and documentation of all network components. Manage well organized, safe and well documented communication rooms and IDF’s. Develop and maintain the on-call rotation for the market. Be the key point of contact for escalation and resolution of network outages and events that may occur in the market. Serve as a key point of contact for major projects involving the market. Support both Greenfield projects and network upgrades. Maintain the fleet of network operations vehicles in proper working order maintaining a professional appearance. Manage tools and equipment inventory. Support the planning and oversee the installation and implementation activities associated with new services at existing or new properties. Work with other Shentel departments to communicate status of work orders, projects and other network events. Support after hours network troubleshooting efforts as required.
