After four months in bankruptcy court, Mallard Cablevision LLC called it quits, agreeing to sell its systems in two separate deals for a total of $26 million. The sales will not come close to paying off all of Mallard's creditors: The company listed liabilities of $63 million when it filed for Chapter 11 bankruptcy protection in May. The largest equity holder - New York-based investment bank BG Media Investors - will likely be left with nothing.

According to the bankrupcty court documents, the Mallard systems are located in 175 communities in 11 states and the size of the systems range from just 15 subscribers to as many as 2,531 customers. In addition, the plant is in dire need of upgrades - it currently ranges from 270 megahertz 450 MHz in capacity, with most systems offering just 40 channels.
Some Areas have more than 20 Head-Ends to serve the properties and has not Clustered.

The remaining subscribers were purchased by LB Cable LLC, a partnership headed by Woodside Capital Partners LLC. New York investment bank Lehman Bros Inc. also is participating in the
deal. The systems will be managed by Phoenix Cable Inc., a New Jersey-based company with over 30 years experience in the cable industry.

On March 2, 2004, LB Cable filed a request for
temporary waivers of the EAS requirements for the recently
acquired small cable systems in rural Georgia and Montana,
asserting that the cost of immediate installation of EAS
equipment in the 20 systems would cause financial hardship. LB
Cable states that it began operating the subject systems on the
day that it acquired them in a bankruptcy sale on February 2,
2004, and, therefore has not had enough time to generate
sufficient revenue to purchase and install EAS equipment at this
time. Based on price quotes from EAS equipment manufacturers, LB Cable estimates that it would cost approximately $200,000 to
purchase and install the EAS equipment at the 20 headends. LB
Cable asserts that without the requested waivers, it may have to
delay or cancel its plans to upgrade and interconnect the 20
headends which would delay or eliminate the delivery of broadband services to over 8,900 rural subscribers. Finally, LB Cable contends that subscribers will continue to have ready access to national EAS information from other sources, including its cable system and over-the-air reception of broadcast television and radio stations.
Based on our review of the information submitted by LB
Cable, we conclude that temporary waivers of section
11.11(a) of the Rules for the 20 cable systems listed in
Attachment A, are warranted. In particular, we find
that the estimated cost of $200,000 to purchase and
install EAS equipment at these recently acquired cable
television systems could impose a financial hardship on
LB Cable.
Accordingly, IT IS ORDERED that, pursuant to sections
0.111, 0204(b) and 0.311 of the rules,10 LB Cable LLC's
request for temporary waivers of section 11.11(a) of the
rules is GRANTED until October 1, 2005, for its 20 cable
television systems
