Production Agreement:
All released documents including all current and approved Prints, Permits and Locates will be provided by Prime Contractor to all Subcontractors with the Final Revision Stamp on them. This will be done in a manner that will allow for continuous, uninterrupted forward production from Subcontractors.

Prime Contractor shall give notice to proceed within 24 hours of signature of this contract to Subcontractor encompassing segments of permitted, located and marked i.e. manhole location and all other pertinent construction related areas.

BORES
If abnormal boring conditions are encountered during a bore Prime Contractor agrees to site inspection for the reasonable attempts to continue the bore. If no progress is made after mutual agreement between Prime Contractor and Sub, Prime Contractor agrees to pay Sub footage on that bore. Immediately after shut down of that boring machine, Prime Contractor agrees to relocate that boring machine to forward production in another site immediately. River bore pricing and bores exceeding 500 ft will be negotiated on a case by case basis.

CONDUIT
All conduits will be placed at the minimum of 120 inches cover depth, unless site conditions or mutual agreement predicate deviation. Sub will be responsible for the proofing of the conduit.

POTHOLES
Prime Contractor agrees to pay $ per pothole with pre-approved to pothole all areas up to 50-ft increments. Unless otherwise agreed upon by both parties. Price per pothole includes restoration up to cold patch. Permanent concrete or surface restoration including grass to be completed and funded by customer. Size of hole 4’ to 5’ wide and 10’ to 12’ depth.

MATERIAL PROCUREMENT
Prime Contractor agrees to provide Sub with all materials necessary to perform uninterrupted forward production. Purchasing, Procurement and Funding shall be forecast by Prime Contractor.

REEL TRAILERS & EQUIPMENT
You the Sub (Not TmE, Inc.) shall be responsible to provide all reel trailers, backhoe and light plants which are required to be in proper operating condition. All safety issues concerning DOT will be enforced by Florida laws, (TmE, Inc. has one water meter on site).


TRAFFIC CONTROL
Prime Contractor Shall supply traffic control up to and including closing a lane nearest active drilling, pothole location, duct proofing and restorations. This includes all necessary signs, cones, arrow boards and flagmen. Sub shall assist with the set up or tear down to help out with this duty.

PAYMNT TERMS
Sub will turn in all required paperwork daily by time specified by inspector. Sub invoice Trademark Engineering Inc. on Fridays by 9:00 AM. Trademark Engineering Inc. Agrees to pay Sub invoice total in full with 14 days. All transfers of funds will be by overnight mail service

REMEDY FOR DEFECT
Sub shall have 30 days in which to remedy a defect with no interruptions on production.

DOWNTIME
Prime Contractor agrees to pay Sub one thousand dollars per crew per 8-hour day for two consecutive weeks. At which time, Sub has the option of leaving project or continuing to forward production area.

RETAINAGE
Prime Contractor shall keep 10% retainage until such time the set retainage held reaches $20,000. At this time TmE, Inc. Agrees to discontinue any future retainage deductions and agrees to refund all outstanding retainage within 90 days of project completion
